2 part question about LLC and Corporations.?

1. What would be the advantage for a small/medium business to be incorporated rather then be a LLC?

2. If a business is already incorporated, can it change to become a LLC?

I have an understanding of being double taxed as a corporation, so I don't exactly see why a smaller business would choose to go that way over becoming an LLC.

Thanks for your help.

If you have a small business most advantageous is the LLC entity. Yes, you can change your entity, but believe it is once a year based on how your tax schedule is set up. Do your research on entity structures and consult an attorney if you need further advice.

to create an LLC, it incredibly is only approximately comparable to that of a corp. because of the fact the different answerer pronounced, an LLC skill constrained corporation, no longer corporation. you may fill out a style, commonly offered via your state corp commissioner and make helpful the call you desire is obtainable. then, after filling your purpose, you may document it with a newspaper of x # of stream for 4 weeks. once you're finished, you get a information of stream and deliver that to the Corp comm and that they deliver you confirmation which you're then an valid LLC; you will possibly be able to then declare which you're. keep in mind, in case you desire to sell inventory to the typical public, you would be violating numerous rules in case you're an LLC. maximum LLCs would possibly no longer get investors that way.......yet firms might! A "Sub S" Corp is only approximately comparable to an LLC, that's why the two confuse those desirous to document for a corp. finally--a Corp is a state entity and it would pay annual expenses to the state. AN LLC does no longer.
