Can you point me to resources where I can learn the various risks, implications, for a US company that incorporates in Europe?

A US Corporation, incorporates in ONE State in the USA.
To do business in another state withing hte USA, they have to file as a foreign corporation in the other state, and/or obtain a certificate of authority in the other state. This is done through the Secretary of State in Each State.
The laws will vary with each foreign country, and you would probably have to register the US Corporation with the government in each foreign country, according to that country's laws.
