Do I need file 1040 or/and state tax for a no-income business?

I set up a corporate June 2007 in california. However, it never worked out. I closed it out in March 2008. I have an EIN# for it, but there is no assets, no inventory, no sales, no employee but only less than $100 state filing fees expenses. (Basically, it is a blank corporation) I couldn't find any information at irs.gov to see if I need to file tax return for it. Can anybody help we with that?

If so, how do I file it? Can I do it myself? Is there any information on government website?

    You were supposed to file the corporate return by 3/15. You now owe at least 1 $85 penalty for failure to file.

    You also owe $800 to the CA.
