free media converter?

I need a easy to use media converter for my granny. She basically needs to use it for downloading files form youtube and convert it to fit her iPod and mobile phone. Her mobile phone plays mp4 only.

Please help with some nice converter which is free and easy for her to understand and use.

I need the softie to do two things...

1. directly download from youtube and convert it into the audio/video type.

2. work offline and convert files into mp 4 technology.

She got lots of mp3 songs that needs to be converted to mp4

Please ensure that it is free ( no shareware or time trials or demos) and leaves no watermarks/ trademarks and has other limits.
