First thing you need to do is make sure that your computer meets the system requirements for Windows XP. They are as follows:
PC with 300 megahertz or higher processor clock speed recommended; 233 MHz minimum required (single or dual processor system);* Intel Pentium/Celeron family, or AMD K6/Athlon/Duron family, or compatible processor recommended
128 megabytes (MB) of RAM or higher recommended (64 MB minimum supported; may limit performance and some features)
1.5 gigabytes (GB) of available hard disk space*
Super VGA (800 x 600) or higher-resolution video adapter and monitor
CD-ROM or DVD drive
Keyboard and Microsoft Mouse or compatible pointing device
Keep in mind that those are bare minimum requirements. It is best to have 512mb of RAM for XP. You can do just about anything with that amount with the exception of gaming. But before you try to install xp make sure you do a full system backup of Windows 98. Just incase something goes wrong and you need to revert back. Also it would be smart to go to the manufactures website of your computer and make sure that they have all the drivers that your going to need. i.e. Graphics, Sound, Chipset, and Ethernet (Network) Drivers. Then once you have all this in order proceed with the Windows XP install. Set your computer to boot from CD (you do this in the BIOS) and the installation process will begin. If you have any questions or concerns feel free to email me.

You generally don't uninstall operating systems. That's like removing the first floor of a three-story building. Instead, you usually install the new operating system over the old one. This has one earthshaking consequence:
If the installation of the new OS doesn't explicitly do something to save your existing files, they're all gone, probably permanently.
There used to be Windows 98-to-XP Upgrade kits that handled this, but I don't know if they're still available.
But beyond that, a machine from the Win98 era would need MAJOR hardware upgrades to be able to run XP effectively.
It would need to be able to handle at least 512 megabytes of RAM. A gigabyte is better.
It would need a faster CPU than the earlier Pentiums (I and II at the minimum).
It would need at least a 40 gigabyte drive. It would also need a BIOS that can handle the drive's capacity.
If it sounds like I'm trying to talk you out of it, I am. For under a thousand dollars you can get something that will knock your socks off. Even for under $700 you can probably get a far more capable machine.
Sorry, but that's the reality.

You can't uninstall Win 98! Just put the xp cd in and bootup and the XP installation will launch. Format the drive when prompted to do so.

The installation program should give you the choice of upgrading win98 or of leaving it intact and dual booting if there is another partition on the drive. if you choose upgrade it will import the registry and other settings so you don't lose anything. there is then an "import files and settings" wizard to help with anything else after it is installed

You will lose all your files when installing a new operating system unless you make a backup. Just insert the XP disk and boot from it, format the hard-drive and install XP.
