Panthers because their defense is far superior than New England (assuming Thomas Davis and Roman Harper play). Cam Newton has a o-line that can neutralize Denvers front 7 and they have been playing with a chip on their shoulders the entire season from being the "worst undefeated team in history" and Cam Newton just torched the Legion of Boom of Seahawks and the No Fly Zone of the Cardinals in consecutive weeks. I don't see this as a blowout like 2 years ago but I do see the Panthers lifting the Lombardi trophy!
