Question about Windows 7?

I have Windows XP Pro installed right now, but want to do a clean install of Windows 7. I am going to buy Windows 7 Home Premium Upgrade. My question is, will a Windows XP Upgrade Disc qualify as owning a previous version of Windows? Does it even ask for a disc like XP did or does it ask for a CD key? I wouldn't be so worried if I have seen the installation process before.

    an orginal copy is refering to vista-xp will not be invloved with windows 7 at all

    for example if you have vista ultimate you can get windows 7 ulitimate as an upgrade which is cheaper.

    with xp-windows7 you will need the full software
