Because it is no more invisible under the the old type ground to air missile that running longer wave length radar. And one of F-117 was hit by it during the war.

Out dated (it was introduced in 1983).
Also, it had a rather small production (a total of 65 were made) which means limited spares availability, and its radar absorbing mats were difficult and costly to maintain.
It was also very limited in what it could do.
The F35 will be at least twice as stealthy, carry more weapons, have longer range, be much more agile and faster.
