i7 i7-740QM w/Turbo Boost up to 2.93 GHz vs.i7-840QM processor w/ Turbo Boost up to 3.2 GHz?
is the upgrade from the first to the second, worth paying $300 extra? I'm not really a gamer but i'm just wondering?

Upgarding is good for the future but what is the use for u? so choose as for your use both are worthy for money.

Unless you're doing something that will saturate that CPU for long periods of time, the i7-740QM is enough of a processor. Even hardcore gaming won't strain that cpu, but mobile HD video rendering might.
FWIW - 23 GHz = 8 * 2.93 GHz. That's bad math, because hyperthreading is only a 25-30% boost AT BEST. Even without the math error, that type of calculation is too simplistic to use safely, especially between different processor lines.

The 2.93 GHz vs.i7-840QM will be plenty, use the extra money for a better video chip set GT335m or Radeon 5xxxm as you may want to play games at some point.

If you are not using it for hardcore gaming then it will bring no benefit and would be a waste of money. The i7 processors are 4 core with each core having 2 threads. This is essentially have a 23.44GHz processor. Way more than enough.
As per speculation of the 23GHz, the processors are rated per core. Each is is 2.93GHz. The Intel I Technology is all based around each core having 2 threads which each thread can do its own thing. Therefore 4 cores, times 2 threads per core and 2.93GHz each results in 23.44GHz in total.
