The Constitution says that no one is qualified to be Vice President who is not qualified to be President. Bill Clinton is Constitutionally disqualified from being President again because of term limits, so he cannot be Vice President either.
If by Clinton you mean Hillary, she can be Vice President and it might be a smart idea to have her run, and make Biden the Secretary of State.

I recall that this question came up in 1960, when Richard Nixon was running for president; the question was whether he could choose President Eisenhower (who had already served 2 terms) as VP candidate. I think the general consensus was "no," but there was an editorial in the National Review (a conservative political magazine) that presented an argument that it would be legal. The author admitted that if Nixon died, Eisenhower could not succeed him as President, but he had some reason for thinking that Eisenhower could serve legally as Vice-President. Sorry I don't recall the details, but if you really want to find it, it'd be in some 1960 or maybe 1959 issue of the NR.
