You like someone else (you probably do) and you don't think it'd be fair to her if you dated her while wanting this other girl because you are an honest man. It makes you look like a good person and preserves her ego.

Maybe offer to set her up with some or atleast tell her that she should have a guy that persues her and if you weren't already into someone you may even been that guy. But don't give her hope, tell her you two are best as friends. You got this.
