If all you are changing is the modem, which is a small about paperback book size card inside the computer that the phone line plugs into, then you will not need to reinstall XP. You might have to run a driver install for the new modem that will come on a CD with the modem. You might also have to rerun the set up for your Internet connection if you use dial-up.

If, like I have seen in the past, by modem you mean the entire computer box that holds the hard drive, system board, processor, memory, CD drive, etc., then yes, you would have to reinstall Windows (and everything else) on the new box.

Win XP usually detects the modem and will attempt to install the Drivers.

If it does not find the appropriate drives it will ask you to search for the drivers at this point you will put in the driver CD that came with the Modem. just browse to the Drivers and locate the .inf file

and it will install the drivers for you and that's it.
