Windows 7 32 bit HP upgrade to 64 bit PRO, should I buy upgrade version?

I have Windows 7 32 bit Home Premium, and I want to upgrade to 64 bit professional. I was just going to buy the retail version with DVD's and serial, but would I save money on an upgrade version? I don't want just a serial, I want the full 64 bit pro DVD & serial. Is it too much of a hassle to get the upgrade version? I don't want to create a boot USB or whatever else.

    Better go for the retail version since it more stable for a clean format than an upgraded ones.
