It means that you are taking Their company by giving them a million dollars worth of stock in another company.

It means that you're not giving them money. You're giving them shares of another company. Possibly one that you're going to merge with the company they are selling.

It means instead of giving existing stock holder a million dollars you give them a million dollars of stock in another company,
