How do you diagnose a bad motherboard?

I've got a PC that I built a few years ago. ABIT IC7-G motherboard, Socket 478 processor. I've had issues with it in the past. Right now (after I've cleared the CMOS), It will boot up, and right after it does the IDE check the system siren goes off. Then it will either say NTLDR is missing, or CPU is unworkable. I haven't seen any ways to diagnose this at all and I dont feel like dropping $100 on a decent MB/CPU combo. I've tried booting with 2 separate formatted disks (1 SATA and 1 IDE) and still get the same thing, all the while having a Win XP CD in the drive. I took out all of my memory and put them in one at a time, same thing. I have no idea what is wrong, can anyone help me out here?

bo75007: thx for the quick response. already tried that, got some good thermal compound and still the same thing. The siren is a hi-lo siren, which in the past has proven to be CPU over heating. But within 10 seconds of starting up, does that seem like enough time for it to even over heat?

And I still have the NTLDR issues as well. I cannot figure out if it is a hard drive issue, MB issus, or something in the bios

bo: that's what i'm trying to do. I can't get into any kind of DOS prompt, it won't boot from a good, known-working Win XP CD, the only time it will is if I have no HD connected. Even the formatted HD's it still will tell me NTLDR is missing. Take it out, and it can boot from Win CD.

BTW: Here are some temps I pulled from BIOS:

CPU - 185F

PWM - 118F

System - 82F

    The alram is an indication of CPU overheating. The best way to fix that is to make sure the fan and heatsink are free of dust, which sometimes is enough, but many times you will want to clean the surfaces and apply new thermal grease between the cpu and the cpu fan. This stuff is called arctic silver, or some other brand similar, and you can get it at fry's electronics for around $5.

    The NTLDR is missing is probably a software issue, you might just want to reinstall the operating system.
